Terms of Service for Arvochem software and arvochem.com.

These Terms of Service ("Terms") govern your use of the Arvochem desktop application ("Software") and the arvochem.com website ("Site"), both operated by Arvochem LLC ("Arvochem," "we," "us," or "our"), a Tennessee limited liability company.
By accessing the Site, creating an account, or installing the Software, you agree to these Terms. If you do not agree, do not use our services.
1. Definitions
- "Software" means the Arvochem desktop application, including its modules (Optimization, Kinetics, Scale-Up, Workup & Isolation, and the Cost Estimator), the Reaction Search feature, and all updates.
- "Subscription" means a paid plan granting access to one or more Software modules.
- "User," "you," "your" means the individual or entity using the Software or Site.
- "Content" means data, files, parameters, and results you create or import using the Software.
2. Eligibility and Account Registration
You must be at least 18 years old and able to form a binding contract to use the Software or create an account. If you accept these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
You must create an account to purchase a Subscription or access members-only areas of the Site. You agree to:
- Provide accurate, current information
- Keep your login credentials confidential
- Notify us immediately of unauthorized use of your account
- Accept responsibility for all activity under your account
3. Subscriptions and Payment
3.1 Plans and Modules
Subscription plans and the modules each includes are described on our Pricing page. Current pricing is provided before you complete a purchase. Prices may change with 30 days' notice to existing subscribers.
3.2 Billing
Self-serve Subscriptions are billed on a recurring basis (monthly unless otherwise stated at purchase) through our payment processor. By subscribing, you authorize recurring charges to your payment method. Enterprise customers may be invoiced under a separate written agreement.
3.3 Cancellation
You may cancel your Subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time within a billing period.
3.4 Free Modules
The Cost Estimator module is provided free of charge and does not require a Subscription. Arvochem reserves the right to change which modules are included in free and paid tiers.
3.5 Evaluation and Demonstration Versions
A free or demonstration version of the Software may be made available for evaluation. Evaluation use is subject to these Terms and may be limited, modified, or discontinued at any time.
3.6 Automatic Renewal
Your Subscription automatically renews at the end of each billing period at the then-current price, and recurring charges will continue to be applied to your payment method, until you cancel. Before you complete your purchase, we disclose the renewal frequency and the amount you will be charged, and by subscribing you provide affirmative consent to these recurring charges. You may cancel at any time before the next renewal from your account dashboard (effective at the end of the current period) or by emailing contact@arvochem.com; cancellation instructions are available in your account at all times. Where required by applicable law, we will send a renewal or price-change reminder, with cancellation instructions, before the applicable charge.
4. License Grant
4.1 Software License
Subject to these Terms and payment of applicable fees, Arvochem grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on computers you own or control, solely for your internal business or academic purposes.
4.2 Restrictions
You may not:
- Reverse-engineer, decompile, or disassemble the Software
- Redistribute, sublicense, rent, lease, or lend the Software to third parties
- Remove or alter any proprietary notices, labels, or branding
- Use the Software to design, develop, or build a product or service that competes with the Software
- Share your account credentials or Subscription with unauthorized users
4.3 Academic Licenses
Academic-priced Subscriptions are restricted to use by students, faculty, and staff at accredited educational institutions for non-commercial research and teaching. Commercial use under an academic license is a violation of these Terms.
5. Acceptable Use
The Software is a computational aid for chemical process development. You agree that you will not use the Software or Site to:
- Design, develop, produce, or facilitate the synthesis or manufacture of controlled substances, chemical, biological, radiological, or nuclear weapons, explosives, or any other material whose production, possession, or use is prohibited under applicable law;
- Violate any applicable law, regulation, export control, or third-party right;
- Circumvent or attempt to circumvent license, authentication, or usage controls, or access the Software without a valid license;
- Introduce malware, or attempt to gain unauthorized access to, interfere with, or disrupt the Software, the Site, or our systems;
- Misrepresent the source, accuracy, or validation status of results produced by the Software.
The Software provides estimates and models only. You remain solely responsible for the legality, safety, and regulatory compliance of any process, reaction, or product you develop. Arvochem may suspend or terminate access for any violation of this Section. We may also report activity we reasonably believe to be unlawful to appropriate authorities and cooperate with lawful requests from law enforcement, as permitted or required by applicable law.
6. Your Data
6.1 Ownership
You retain all rights to your Content. Arvochem does not claim ownership of any data you create, import, or export using the Software.
6.2 Data Privacy
The Software runs locally on your computer. Your experimental data, reaction parameters, and results are stored on your machine and are never transmitted to Arvochem servers. The only data transmitted to our servers is:
- Account authentication (login credentials)
- License validation (subscription status check)
- Waitlist and contact form submissions
Any future feature that would transmit additional data from the Software will be optional and disclosed before you enable it. See our Privacy Policy for full details.
6.3 No Data Recovery
Because your data is stored locally, Arvochem cannot recover lost data. You are responsible for backing up your project files.
7. Intellectual Property
The Software, Site, documentation, and all associated intellectual property are owned by Arvochem LLC. These Terms do not transfer any Arvochem intellectual property to you.
Your use of the Software to develop chemical processes, reactions, or formulations does not grant Arvochem any rights to your inventions, discoveries, or intellectual property.
8. Third-Party and Open-Source Components
The Software incorporates third-party and open-source components, which are licensed under their respective terms. Those licenses govern your use of those components, and nothing in these Terms limits any rights granted, or expands any obligations imposed, by an applicable open-source license.
9. Beta and Pre-Release Software
Arvochem is in a pre-launch, early-access phase, and the Software and Site are provided on a beta basis. This means that:
- Features may be added, changed, or removed at any time without notice;
- The Software may contain errors or produce incomplete or inaccurate results;
- Arvochem makes no commitment regarding service level, uptime, or availability during this phase;
- Early-access or beta access may be offered free of charge or at a discount and may be modified or discontinued at any time.
The disclaimers in Section 10 and the limitations in Section 11 apply with full force to all beta and pre-release use.
10. Disclaimer of Warranties
THE SOFTWARE AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Arvochem does not warrant that:
- The Software will be error-free or uninterrupted
- Results obtained from the Software will be accurate or reliable
- The Software will meet your specific requirements
Chemical process safety notice: The Software provides computational estimates and models. It is not a substitute for professional engineering judgment, laboratory safety protocols, or regulatory compliance. You are solely responsible for validating results and ensuring safe operation of any process designed using the Software.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARVOCHEM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE OR SITE.
ARVOCHEM'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ARVOCHEM IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Liabilities that cannot be limited. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. If applicable law does not allow the exclusion or limitation of certain damages, the above exclusions and limitations apply to the fullest extent permitted, and the remaining provisions of these Terms remain in full force.
Scope. The exclusions and the monetary cap in this Section limit Arvochem's liability only. They do not limit your obligations under Section 12 (Indemnification) or Section 13 (Export Compliance), or your liability for breach of the license and restrictions in Section 4 or for infringement or misappropriation of Arvochem's intellectual property.
12. Indemnification
You agree to indemnify and hold harmless Arvochem, its officers, employees, and agents from any claims, losses, or damages (including reasonable attorneys' fees) arising from your use of the Software, violation of these Terms, or infringement of any third-party rights.
13. Export Compliance
You represent and warrant that you are not located in, and will not use or export or re-export the Software in violation of, any U.S. export-control or economic-sanctions laws, including to any embargoed or restricted jurisdiction or to any person or entity on a U.S. government restricted-party list. You are responsible for compliance with all applicable export and import laws.
14. Termination
14.1 By You
You may stop using the Software and cancel your Subscription at any time.
14.2 By Arvochem
We may suspend or terminate your access if you violate these Terms, fail to pay Subscription fees, or if we discontinue the Software. We will provide reasonable notice when possible.
14.3 Effect of Termination
Upon termination, your license to use paid modules ends. Your locally stored data remains on your machine. Free modules (Cost Estimator) remain accessible. Sections that by their nature should survive termination (including Sections 5–13, 15, and 17) will survive.
15. Dispute Resolution and Arbitration
Note: This Section should be confirmed by counsel before launch; arbitration, consumer-fee, opt-out, and class-waiver enforceability vary by jurisdiction.
15.1 Informal resolution.
Before initiating a formal claim, you agree to contact us at contact@arvochem.com and attempt in good faith to resolve the dispute for at least 30 days.
15.2 Binding arbitration.
Except for claims seeking injunctive relief, claims arising from intellectual-property infringement, and claims that may be brought in small-claims court under Section 15.5, any dispute arising out of or relating to these Terms or the Software shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA"), on an individual basis. For users who are individuals using the Software for personal or individual purposes, the arbitration shall be governed by the AAA Consumer Arbitration Rules, and Arvochem will pay the arbitration filing, administrative, and arbitrator fees to the extent those rules require; for all other users, the AAA Commercial Arbitration Rules apply. The seat (legal place) of arbitration shall be Tennessee, and an arbitration may be conducted by videoconference or, for individual users, in the county of the user's residence where required by the applicable rules.
15.3 Class-action waiver.
You and Arvochem each waive any right to bring or participate in a class, collective, or representative action. Disputes will be resolved only on an individual basis.
15.4 Right to opt out.
You may opt out of this Section 15 (arbitration and class-action waiver) by sending written notice to contact@arvochem.com within 30 days of the date you first accept these Terms, stating your name, account email, and intent to opt out. Opting out will not affect any other provision of these Terms, and you may still use the Software and Site.
15.5 Small-claims option.
Either party may instead bring an individual claim in a small-claims court of competent jurisdiction, in lieu of arbitration, for any dispute within that court's jurisdiction.
15.6 Severability of this Section.
If the class-action waiver in Section 15.3 is found unenforceable as to a particular claim or request for relief, that claim or request shall be severed from arbitration and proceed in a court of competent jurisdiction under Section 16, while the remainder of this Section 15 continues to apply to all other claims. If any other provision of this Section 15 is found unenforceable, it shall be severed and the remaining provisions shall continue in effect.
16. Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Subject to Section 15, any disputes not subject to arbitration shall be resolved in the state or federal courts located in Tennessee, and you consent to their jurisdiction.
17. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or a notice on the Site. Continued use of the Software after changes take effect constitutes acceptance. However, any material change to Section 15 (Dispute Resolution and Arbitration) will not apply to a dispute of which we have actual notice before the change, and, where required by law, we will obtain your affirmative consent to, or give you an opportunity to opt out of, such change before it applies to you.
18. Miscellaneous
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
- Entire Agreement. These Terms, together with the Privacy Policy and any order form or written agreement you sign with us, constitute the entire agreement between you and Arvochem regarding the Software and Site, and supersede any prior agreements.
- No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign or transfer these Terms without our prior written consent. Arvochem may assign these Terms, including in connection with a merger, acquisition, or sale of assets.
- Force Majeure. Neither party is liable for any delay or failure to perform due to causes beyond its reasonable control.
- Notices. We may provide notices to you by email or through the Site.
